Sarah Nicholson (“ExploreDiscover,” “I,” “me,” or “my”) welcomes you.  I invite you to access and use my website.

1.2            References in these Terms to the Site includes all associated web pages. 

 

1.3            I provide Visitors and Registered Users with access to the Services as described below.   

 

1.4            Visitors.  Visitors, as the term implies, are people who do not register with me, but want to explore the Website.  No login is required for Visitors.  Visitors can: (i) view all publicly-available content on the Websites; and (ii) email us. 

 

1.5 Registered Users.  Registered Users can do all the things that Visitors can do, and: (i) purchase products and services through the Websites; (ii) access exclusive content available only to Registered Users; (iii) create, access, manage, and update their own personal accounts on the Websites; (iv) post comments and other content on the Websites (collectively, “Registered User Content”); (v) sign up for my various programs; (vi) sign up for alerts and other notifications; and (vii) become part of the Women Travellers Tribe. 

 

1.6            ExploreDiscover is under no obligation to accept any individual as a Registered User and may accept or reject any registration in its sole and complete discretion.  In addition, ExploreDiscover may deactivate any account at any time, including, without limitation, if it determines that a Registered User has violated these Terms of Use.

Definitions 

Content means any text, images, video, audio or other multimedia content, software or other information or material submitted to or on the Site; 

Terms means these terms and conditions of use as updated from time to time; 

Cookie policy means the policy which governs how I use cookies in the Site; 

I, me, my or ExploreDiscover  means Sarah Nicholson (sole trader); 

Online coaching terms means the terms and conditions which will apply to you ordering coaching services using the Site; 

Energy Healing terms means th terms and conditions which will apply to you ordering energy healing services using the Site; 

Privacy policy means the policy that is written out below this policy, which governs how I process any personal data collected from you; 

Submission means any text, images, video, audio or other multimedia content, software or other information or material submitted by you or other users to the Site; 

You or your means the person accessing or using the Site or its Content. 

1.8            Your use of the Site means that you must also comply with my Community Guidelines, my Privacy policy, my Cookie policy my Energy Therapy terms and my Online coaching terms, where applicable. 

2. Using the Site 

2.1            The Site is for your personal use only. 

2.2            You agree that you are solely responsible for any costs and expenses you may incur in relation to your use of the Site.

2.4            I may prevent or suspend your access to the Site if you do not comply with any part of these Terms, any terms or policies to which they refer or any applicable law. 

  1. Restrictions

The Website is only available for individuals aged 13 years or older.  If you are 13 or older, but under the age of majority in your jurisdiction, you should review this Agreement with your parent or guardian to make sure that you and your parent or guardian understand it.   

 

  1. Sign-In Name; Password; Unique Identifiers

4.1 During the registration process for Registered Users, I will ask you to create an account, which includes a sign-in name (“Sign-In Name”), a password (“Password”), and perhaps certain additional information that will assist in authenticating your identity when you log-in in the future (“Unique Identifiers”).  When creating your account, you must provide true, accurate, current, and complete information.   

4.2    Each Sign-In Name and corresponding Password can be used by only one Registered User, and sharing your access credentials with others (especially if they are using your credentials to access our proprietary Content (as defined below)) is a material breach of this Agreement.  

4.3You are solely responsible for the confidentiality and use of your Sign-In Name, Password, and Unique Identifiers, as well as for any use, misuse, or communications entered through the Websites using one or more of them.   

4.4You will promptly inform us of any need to deactivate a Password or Sign-In Name, or change any Unique Identifier.   

4.5I reserve the right to delete or change your Password, Sign-In Name, or Unique Identifier at any time and for any reason and shall have no liability to you for any loss or damage caused by such action. 

5.  Submitting information to the Site 

5.1            While I try to make sure that the Site is secure, I cannot guarantee the security of any information that you supply to me and therefore I cannot guarantee that it will be kept confidential. For that reason, you should not submit to the Site any information that you regard as confidential, commercially sensitive or valuable. 

5.2            I may use any Submissions as I see reasonably fit on a free-of-charge basis.  I shall not be legally responsible to you or anybody else for any use of Submissions. 

6.  Accuracy of information and availability of the Site 

6.1            While I try to make sure that the Site is accurate, up-to-date and free from bugs, I cannot promise that it will be. Furthermore, I cannot promise that the Site will be fit or suitable for any purpose. Any reliance that you may place on the information on this Site is at your own risk. 

6.2            I may suspend or terminate operation of the Site at any time as I see fit. 

6.3            Content is provided for your general information purposes only and to inform you about me and my products and news, features, services and other websites that may be of interest. It does not constitute technical, financial or legal advice or any other type of advice and should not be relied on for any purposes. 

6.4            While I try to make sure that the Site is available for your use, I do not promise that the Site is available at all times nor do I promise the uninterrupted use by you of the Site.

7.1The Websites may contain links to third-party websites (“External Sites”).  These links are provided solely as a convenience to you and not as an endorsement by us of the content on such External Sites.  The content of such External Sites is developed and provided by others.  

7.2You should contact the site administrator or webmaster for those External Sites if you have any concerns regarding such links or any content located on such External Sites.  We are not responsible for the content of any linked External Sites and do not make any representations regarding the content or accuracy of materials on such External Sites.  You should take precautions when downloading files from all websites to protect your computer from viruses and other destructive programs.  If you decide to access linked External Sites, you do so at your own risk. 

 

8. Community Guidelines 

ExploreDiscover’s community, like any community, functions best when its users follow a few simple rules.    

By accessing and/or using the Websites, you agree to comply with these community guidelines (the “Community Guidelines”) and that: 

Any Submission or communication to users of my Site must conform to standards of accuracy, decency and lawfulness, which shall be applied in my discretion, acting reasonably. In particular, you warrant that any Submission or communication is: 

8.1.1        your own original work and lawfully submitted; 

8.1.2        factually accurate or your own genuinely held belief; 

8.1.3        provided with the necessary consent of any third party; 

8.1.4        not defamatory or likely to give rise to an allegation of defamation; 

8.1.5        not offensive, obscene, sexually explicit, discriminatory or deceptive; and 

8.1.6        unlikely to cause offence, embarrassment or annoyance to others. 

You will comply with all applicable laws in your use of the Websites and will not use the Websites for any unlawful purpose; 

You will not upload, post, email, transmit, or otherwise make available any content that:  

8.2infringes any copyright, trademark, right of publicity, or other proprietary rights of any person or entity; or 

8.3is defamatory, libelous, indecent, obscene, pornographic, sexually explicit, invasive of another’s privacy, promotes violence, or contains hate speech (i.e., speech that attacks or demeans a group based on race or ethnic origin, religion, disability, gender, age, veteran status, and/or sexual orientation/gender identity; or 

8.4discloses any sensitive information about another person, including that person’s email address, postal address, phone number, credit card information, or any similar information. 

8.5        not to use the Site to simulate communications from me or another service or entity in order to collect identity information, authentication credentials, or other information (‘phishing’); 

8.6You will not “stalk,” threaten, or otherwise harass another person; 

8.7You will not spam or use the Websites to engage in any commercial activities; 

8.8If you post any Registered User Content, you will stay on topic; 

8.9You will not access or use the Websites to collect any market research for a competing business; 

8.10You will not impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; 

8.11You will not interfere with or attempt to interrupt the proper operation of the Websites through the use of any virus, device, information collection or transmission mechanism, software or routine, or access or attempt to gain access to any data, files, or passwords related to the Websites through hacking, password or data mining, or any other means; 

8.12You will not cover, obscure, block, or in any way interfere with any advertisements and/or safety features (e.g., report abuse button) on the Websites;    

8.13You will not use any robot, spider, scraper, or other automated means to access the Websites for any purpose without our express written permission; provided, however, we grant the operators of public search engines permission to use spiders to copy materials from the public portions of the Websites for the sole purpose of and solely to the extent necessary for creating publicly-available searchable indices of the materials, but not caches or archives of such materials; 

8.14   You will not to represent or suggest that I endorse any other business, product or service unless I have separately agreed to do so in writing; 

8.15You will not take any action that imposes or may impose (in my sole discretion) an unreasonable or disproportionately large load on my technical infrastructure; and 

8.16You will let me know about inappropriate content of which you become aware.  If you find something that violates the Community Guidelines, please let me know, and I’ll review it. 

I reserve the right, in my sole and absolute discretion, to deny you access to the Websites, or any portion of the Websites, without notice, and to remove any content that does not adhere to these Community Guidelines. 

9. Ownership, use and intellectual property rights 

The Websites contain material, such as videos, coursework, lesson plans, training modules, photographs, software, text, graphics, images, sound recordings, and other material provided by or on behalf of ExploreDiscover (collectively referred to as the “Content”).   

9.1The Content may be owned by me or third parties.  The Content is protected under both United Kingdom and foreign laws.  Unauthorised use of the Content may violate copyright, trademark, and other laws.   

9.2Visitors may view all publicly-available Content for their own personal, non-commercial use.   

9.3Registered Users who have purchased any product or service, may download onto their own machines and view any Content contained in such purchased product or service for their own personal, non-commercial use.   

9.4Other than as expressly set forth in the immediately two prior sentences, you have no other rights in or to the Content (other than your own Registered User Content that you post to the Websites), and you will not use the Content except as permitted under this Agreement.  No other use is permitted without the prior written consent of ExploreDiscover.   

9.5ExploreDiscover retains all right, title, and interest, including all intellectual property rights, in and to the Content.   

9.6You must retain all copyright and other proprietary notices contained in the original Content.  You may not sell, transfer, assign, license, sublicense, or modify the Content or reproduce, display, publicly perform, make a derivative version of, distribute, or otherwise use the Content in any way for any public or commercial purpose.   

9.7The use or posting of the Content on any other website, social media page, or in a networked computer environment for any purpose is expressly prohibited.  

9.8If you violate any part of this Agreement, your permission to access and/or use the Content and the Websites automatically terminates and you must immediately destroy any copies you have made of the Content. 

9.9The trademarks, service marks, and logos of ExploreDiscover (the “ExploreDiscover Trademarks”) used and displayed on the Websites are registered and unregistered trademarks or service marks of ExploreDiscover.  Other company, product, and service names located on the Websites may be trademarks or service marks owned by others (the “Third-Party Trademarks,” and, collectively with ExploreDiscover Trademarks, the “Trademarks”).   

9.10The Websites may not be copied or imitated in whole or in part, by any means, including, but not limited to, the use of framing or mirrors.  None of the Content may be retransmitted without my express, written consent for each and every instance. 

  1. Registered User Content; Licenses

10.1As noted above, the Websites provides Registered Users the ability to post and upload Registered User Content.  You expressly acknowledge and agree that once you submit your Registered User Content for inclusion into the Websites, it will be accessible by others, and that there is no confidentiality or privacy with respect to such Registered User Content, including, without limitation, any personally identifying information that you may make available.  YOU, AND NOT EXPLOREDISCOVER, ARE ENTIRELY RESPONSIBLE FOR ALL YOUR REGISTERED USER CONTENT THAT YOU UPLOAD, POST, EMAIL, OR OTHERWISE TRANSMIT VIA THE WEBSITES. 

10.2You retain all copyrights and other intellectual property rights in and to your own Registered User Content.  You do, however, hereby grant me and my sublicensees a non-exclusive, royalty-free, freely sublicensable, perpetual license to modify, compile, combine with other content, copy, record, synchronize, transmit, translate, format, distribute, publicly display, publicly perform, and otherwise use or exploit (including for profit) your Registered User Content and all intellectual property and moral rights therein throughout the universe, in each case, by or in any means, methods, media, or technology now known or hereafter devised.   

10.3You also grant us and our sublicensees the right, but not the obligation, to use your Registered User Content, your Sign-In Name, name, likeness, and photograph in connection with any use of the related Registered User Content permitted by the previous sentence and/or to advertise and promote the Websites, ExploreDiscover, and my products and services.  Without limiting the foregoing, you acknowledge and agree that uses of your Registered User Content, name, likeness, and photograph permitted by the foregoing rights and licenses may include the display of such Registered User Content, name, likeness, and photograph adjacent to advertising and other material or content, including for profit.   

10.4If you submit Registered User Content to me, each such submission constitutes a representation and warranty to ExploreDiscover that such Registered User Content is your original creation (or that you otherwise have the right to provide the Registered User Content), that you have the rights necessary to grant the license to the Registered User Content under the prior paragraph, and that it and its use by ExploreDiscover and its content partners as permitted by this Agreement does not and will not infringe or misappropriate the intellectual property or moral rights of any person or contain any libelous, defamatory, or obscene material or content that violates our Community Guidelines. 

11. Fees and Payments 

11.1As consideration for any purchase you make on the Websites, you shall pay ExploreDiscover all applicable fees and taxes.  I (or my third-party payment processor) shall authorise your credit card, bank account, or other approved payment facility you provided during the registration process for the full payment of the fees and any applicable taxes, and you hereby consent to the same.  If the mailing address you provided us is in the United Kingdom, all payments will be charged and made in Pounds Sterling.  If the mailing address you provided us is outside the United Kingdom or any of its possessions or territories, all payments will be charged and made in your local currency.   

11.2You must provide current, complete, and accurate billing and credit card information.  You must promptly update all billing information (such as billing address, card number, and expiration date) to keep your account current, complete, and accurate, and you must promptly contact me if your credit card is lost or stolen, or if you become aware of a potential breach of account security (such as an unauthorized disclosure or use of your Sign-In Name or Password).  You hereby authorize ExploreDiscover to obtain or determine updated or replacement expiration dates for your credit card in the event that the credit card you provided us expires.  We reserve the right to charge any renewal card issued to you to the same extent as the expired card.  If payment is not received from your credit card issuer, you hereby agree to pay all amounts due upon demand.  You agree to pay all costs of collection, including solicitors’s fees and costs, on any outstanding balance.  In certain instances, the issuer of your credit card may charge you a foreign transaction fee or related charges, which you will be responsible to pay.  You are advised to check with your bank and credit card issuer for details. 

12. Communications with me 

Although I encourage you to email me, I do not want you to, and you should not, email me any content that contains confidential information.  With respect to all emails and communications you send to me, including, but not limited to, feedback, questions, comments, suggestions, and the like, I shall be free to use any ideas, concepts, know-how, or techniques contained in your communications for any purpose whatsoever, including but not limited to, the development, production, and marketing of products and services that incorporate such information without compensation or attribution to you. 

13. Interactive services 

13.1            I may make interactive services available on the Site, for example areas where you submit Content and comment on Content. 

13.2            I am not obliged to monitor or moderate Submissions to my interactive services. Where I do monitor or moderate Submissions I shall indicate how this is performed and who should be contacted in relation to any Submission of concern to you. 

13.3            I may remove or edit any Submissions to any of my interactive services whether they are moderated or not. 

13.4            Any Submission you make must comply with my Community Guidelines 

14. Linking and framing 

14.1         You may create a link to my Site from another website without my prior written consent provided no such link: 

14.1.1     creates a frame or any other browser or border environment around the content of my Site; 

14.1.2     implies that I endorse your products or services or any of the products or services of, or available through, the website on which you place a link to my Site; 

14.1.3     displays any of the trademarks or logos used on our Site without our permission or that of the owner of such trademarks or logos; or 

14.1.4     is placed on a website that itself does not meet the acceptable use requirements of this Policy. 

14.2         I reserve the right to require you to immediately remove any link to the Site at any time, and you shall immediately comply with any request by me to remove any such link. 

15. Breach 

15.1         I shall apply these Terms in my absolute discretion. In the event of your breach of the Terms I may terminate or suspend your use of the Site, remove or edit Submissions, disclose Submissions to law enforcement authorities or take any action I consider necessary to remedy the breach. 

16.  Limitation on my liability 

16.1         Except for any legal responsibility that I cannot exclude in law (such as for death or personal injury), I am not legally responsible for any: 

16.1.1     losses that: 

(a)             were not foreseeable to you and me when these Terms were formed; or 

(b)             that were not caused by any breach on my part 

16.1.2     business losses. 

17.  Variation 

These Terms are dated 11July  2018. No changes to these Terms are valid or have any effect unless agreed by me in writing. I reserve the right to vary these Terms from time to time. My updated terms will be displayed on the Site and by continuing to use and access the Site following such changes, you agree to be bound by any variation made by me. It is your responsibility to check these Terms from time to time to verify such variations. 

18. Disputes 

18.1         I shall try to resolve any disputes with you quickly and efficiently. 

18.2         If you are unhappy with me please contact me as soon as possible to let me know. 

18.3         If you want to take court proceedings, the relevant courts of the United Kingdom will have exclusive jurisdiction in relation to these Terms.

Sensitive Data 

I do not collect any Sensitive Data about you. Sensitive data refers to data that includes details about your race or ethnicity, religious or philosophical beliefs, sex life, sexual orientation, political opinions, trade union membership, information about your health and genetic and biometric data. I do not collect any information about criminal convictions and offences. 

Where I am required to collect personal data by law, or under the terms of the contract between us and you do not provide me with that data when requested, I may not be able to perform the contract (for example, to deliver goods or services to you). If you don’t provide me with the requested data, I may have to cancel a product or service you have ordered but if I do, I will notify you at the time. 

I will only use your personal data for a purpose it was collected for or a reasonably compatible purpose if necessary. I may process your personal data without your knowledge or consent where this is required or permitted by law. 

I do not carry out automated decision making or any type of automated profiling.

I may collect data about you by you providing the data directly to me (for example by filling in forms on my site or by sending me emails or by using an online system to book appointments). I may automatically collect certain data from you as you use my website by using cookies and similar technologies. I may receive data from third parties such as analytics providers such as Google based outside the EU, advertising networks such as Facebook based outside the EU, such as search information providers such as Google based outside the EU, providers of technical, payment and delivery services, such as data brokers or aggregators. 

I may also receive data from publicly availably sources such as Companies House and the Electoral Register based inside the EU.

My lawful ground of processing your personal data to send you marketing communications is either your consent or my legitimate interests (namely to grow my business). 

Under the Privacy and Electronic Communications Regulations, I may send you marketing communications from me if (i) you made a purchase or asked for information from me about my goods or services or (ii) you agreed to receive marketing communications and in each case you have not opted out of receiving such communications since. Under these regulations, if you are a limited company, I may send you marketing emails without your consent. However you can still opt out of receiving marketing emails from me at any time. 

Before I share your personal data with any third party for their own marketing purposes I will get your express consent.

5.  Diclosures of your personal data 

I may have to share your personal data with the parties set out below: 

  •        Service providers who provide IT and system administration services.
  •        Professional advisers including lawyers, bankers, auditors and insurers
  •        Government bodies that require us to report processing activities.
  •        Third parties to whomIsell, transfer, or merge parts of my business or my assets. 

I require all third parties to whom we transfer your data to respect the security of your personal data and to treat it in accordance with the law. I only allow such third parties to process your personal data for specified purposes and in accordance with my instructions. 

 

6.  International Transfers 

I share your personal data within a group of companies which involves transferring your data outside the European Economic Area (EEA). 

Countries outside of the European Economic Area (EEA) do not always offer the same levels of protection to your personal data, so European law has prohibited transfers of personal data outside of the EEA unless the transfer meets certain criteria.

  •         IfIuse US-based providers that are part of EU-US Privacy Shield, I may transfer data to them, as they have equivalent safeguards in place. 

If none of the above safeguards is available, I may request your explicit consent to the specific transfer. You will have the right to withdraw this consent at any time.  

 

7.  Data Security   

I have put in place security measures to prevent your personal data from being accidentally lost, used, altered, disclosed, or accessed without authorisation. I also allow access to your personal data only to those employees and partners who have a business need to know such data. They will only process your personal data on my instructions and they must keep it confidential. 

I have procedures in place to deal with any suspected personal data breach and will notify you and any applicable regulator of a breach if I am legally required to. 

 

8.  Data Retention   

I will only retain your personal data for as long as necessary to fulfil the purposes I collected it for, including for the purposes of satisfying any legal, accounting, or reporting requirements. 

When deciding what the correct time is to keep the data for I look at its amount, nature and sensitivity, potential risk of harm from unauthorised use or disclosure, the processing purposes, if these can be achieved by other means and legal requirements. 

For tax purposes the law requires us to keep basic information about my customers (including Contact, Identity, Financial and Transaction Data) for six years after they stop being customers. 

In some circumstances I may anonymise your personal data for research or statistical purposes in which case I may use this information indefinitely without further notice to you.

BACKGROUND 

I provide energy healing services. 

I am a sole trader. 

1                Introduction 

1.1            If you buy or use any energy healing services from me (and any reference to ‘services’ in this agreement is to energy healing services) you agree to be legally bound by this contract. 

1.2            If you use any of my free resources (for example podcasts, workbooks, discovery sessions or any other resources I may offer free of charge from time to time) you also agree to be legally bound by this contract as appropriate, excluding the clauses relating to payment and consumer rights legislation. 

1.3            When buying any services or using any resources you also agree to be legally bound by: 

1.3.1        my website terms of use and privacy policy; 

1.3.2        extra terms which may add to, or replace, some of this contract, for example any specific written contract between us; 

1.3.3        specific terms which apply to my services, for example programme or service descriptions which may be set out on the webpage for that programme, in email correspondence between us or in a document called a services description which we shall agree between us. 2                Information I give you

3                Ordering services from me 

3.1            Below, I set out how a legally binding contract to buy services between you and me is made: 

3.2            You place an order either on the site by clicking on the relevant paypal link or I shall send you the link by email. Please read and check your order carefully before submitting it. However, if you need to correct any errors you can do so before submitting it to me. 

3.2.1        When you place your order at the end of the online checkout process by clicking on the paypal link on my site, or by clicking on the paypal link I send to you by email, I shall acknowledge it by email. This acknowledgement does not, however, mean that your order has been accepted. 

3.2.2        Any quotation given by me before you make an order for services is not a binding offer by me to supply such services.  Any prices set out in a quotation remain valid for 30 days. 

3.2.3        When you decide to place an order for services with me, this is when you offer to buy such services from me. 

3.2.4        I may contact you to say that I do not accept your order, for example if I do not think my services are right for you or there has been a mistake in the pricing or description of the services, or my circumstances have changed since I gave you the quotation for the services . 

3.2.5        I shall only accept your order when I confirm this to you by sending you a confirmation email. At this point: 

(a)             a legally binding contract will be in place between you and me, and 

(b)             I shall start to carry out the services as set out in the programme description on this website or in a services description agreed between us. 

4                Carrying out the services 

4.1            Where you buy services from me you have protection under consumer rights legislation, including that the services must be carried out with reasonable care and skill. 

4.2            I shall carry out the services within the time period which is set out in the programme description or in a services description. 

4.3            All energy healing sessions must be taken within the timeframe specified in the programme description or services description or they will expire. 

4.4            You can rearrange any two energy healing sessions during a course of treatments providing you give me at least 48 hours’ notice.  If you give me less than 48 hours’ notice or have already rearranged 2 sessions in a course of treatments, unless I agree otherwise with you in advance, you will be deemed to have taken the session and you will not be able to reschedule it or entitled to any compensation for missing it. 

4.5            All sessions take place face to face, unless it has been agreed in advance to have remote sessions via an agreed means of communication.   

4.6            My carrying out of the services might be affected by events beyond my reasonable control. If so, there might be a delay before I can restart the services, having made reasonable efforts to limit the effect of any of those events and having kept you informed of the circumstances, but I shall try to restart the services as soon as those events have been fixed. Examples of events which might be beyond my reasonable control include internet failure or other IT problems, if I am ill or if you change the services you require from me and I have to do extra preparation. 

5                Your responsibilities 

5.1            You will pay the price for the services in accordance with the programme description or a services description. 

5.2            You will provide me with such information and assistance (and ensure that any information is complete and accurate) as I reasonably need to provide the services. 

5.3            Energy Healing is not therapy or counselling.  It may involve all areas of your life, including work, finances, relationships and education. You acknowledge that deciding how to handle these issues and the choices you make in relation to them is exclusively your responsibility.  For this reason, although I expect great things to come from our energy healing sessions, energy healing cannot guarantee any specific outcomes and the results are entirely dependent on your choice to change aspects of your life, commitment and the effort you put in to the sessions. 

5.4            My role is to offer you guidance and accountability and help you make positive mindset changes in order to transform your life.  The information I provide to you is not medical advice, it is not a diagnosis and is not intended to take the place of seeing licensed health professionals. 

5.5            Energy Healing does not treat mental disorders and is not a substitute for counselling, psychotherapy, psychoanalysis, mental health care or medical treatment of any kind.  By entering into this agreement you confirm that you will not use it in place of any form of therapy. You are responsible for any emotional response you experience within the sessions. 

5.6            If you are currently receiving treatment from a doctor or other healthcare professional, by entering into this agreement you confirm that you have consulted with this person regarding the advisability of working with a Energy healer and that this person is aware of and supports your decision to proceed with the energy healing sessions. 

5.7            You will keep me informed of any changes to your medical health or personal circumstances. 

6                Charges and payment 

6.1            The price for the services is a fixed price which is set out in the programme or services description. 

6.2            The fees are non-refundable except for: 

6.2.1        where I cancel a programme other than under 12.3 below, you are entitled to a partial refund for sessions which you have paid for in advance and which you have not received; and  

6.2.2         if you are a consumer, your right to a ‘cooling off’ period as described below. 

6.3            Payment is via the ‘pay now’ button on this website or as agreed between us. 

6.4            Usually I require payment in full in advance but in certain circumstances I may agree to payment by instalments, in which case a supplementary fee may be chargeable.  If I agree to accept payment by instalments and you fail to make any of the instalment payments on the due date then I shall invoice you immediately for the whole of the outstanding balance and payment for that invoice will be due by return. 

6.5            If your full payment is not received by me under clause 6.4, or any instalments due are not paid on the due date, I may charge interest on any balance outstanding at the rate of 4 percentage points a year above Lloyds TSB Bank plc’s base rate. 

7                Right to cancel this contract for consumers 

7.1            If you are a consumer and you buy services from me you have the right to cancel this contract within 14 days without giving any reason. You are a consumer if you are an individual acting for purposes which are wholly or mainly outside your business. 

7.2            The cancellation period will expire 14 days after the commencement of the contract. 

7.3            However, if you confirm to me you wish me to start to provide the services during the 14 day cancellation period then you lose your right to cancel. 

7.4            Following confirmation from you under 7.3, if you start a programme during the cancellation period and subsequently decide that you do not wish to proceed with the sessions, I am not able to refund to you any of the payments you have made as payment is for the programme as a whole and not for individual sessions.  This is a reflection of the of the amount of preparation I need to put into the programme to make it most effective for you and the amount of time I shall dedicate and set aside for preparing for and attending our sessions together.  This policy also helps you with your own accountability and commitment to improving your life and your business through the services. 

8                Effects of cancellation 

8.1            If you are a consumer and you cancel this contract in accordance with the cooling off period in clause 7.1, I shall reimburse to you all payments received from you except where I am allowed to keep such payments such as where I have started carrying out the services within the 14–day cancellation period. 

8.2            I shall make the reimbursement promptly and using the same means of payment as you used for the initial transaction, unless we have expressly agreed otherwise. 

9                Intellectual property 

If I provide you with any materials during the services, whether digital or printed, any intellectual property in those materials belongs to me and unless we agree otherwise you can only use those materials for your own personal use and you may not share them with third parties. 

10             How I may use your personal information 

10.1         I shall use the personal information you give to me to: 

10.1.1     provide the services; 

10.1.2     process your payment for the services; and 

10.1.3     inform you about any similar products and services that I provide, though you may stop receiving this information at any time by contacting me. 

10.2         All information shared by you will be kept strictly confidential, except when releasing such information is required by law and/or where I consider it necessary to do so because of concerns of risk to yourself or others. 

10.3         I shall not give your personal information to any third party unless you agree to it. 

11             Resolving problems 

11.1         In the unlikely event that there is a problem with the services, please contact me as soon as possible and give me a reasonable opportunity to sort out any problems with you and reach a positive outcome. 

11.2         I may at my option vary or re-perform the services if there is a problem and the terms of this agreement will apply to any re-performed services. 

11.3         If you are buying services from me nothing in this contract affects your legal rights under the Consumer Rights Act 2015 (also known as ‘statutory rights’). You may also have other rights in law. 

12             End of the contract 

12.1         If a programme or services description specifies a length of time for services to be provided, then subject to clause 12.2 below, the services will terminate at the end of that timeframe. 

12.2         If I provide services to you on an ongoing basis and the relevant programme or services description does not specify a timeframe then either you or I may terminate the services by one month’s written notice to each other. 

12.3         Either you or I may terminate the services and this contract immediately if: 

12.3.1     the other party commits any material breach of the terms of this contract or a statement of work and, in the case of a breach capable of being resolved, the breach is not resolved within 30 days of a written request to do so.  The written request must expressly refer to this clause and state that the statement of work or this contract will be terminated if the breach is not resolved; or 

12.3.2     the other party commits or threatens to commit or is threatened with any act of insolvency under the Insolvency Act 1986. 

12.4         If this contract is ended it will not affect my right to receive any money which you owe to me under this contract. 

13             Limit on my responsibility to you 

13.1         Except for any legal responsibility that I cannot exclude in law (such as for death or personal injury), I am not legally responsible for any: 

13.1.1     losses that: 

(a)             were not foreseeable to you and me when the contract was formed 

(b)             that were not caused by any breach of these terms on my part 

13.1.2     business losses, including loss of business, loss of profits, loss of management time and loss of business opportunity. 

13.2         My total liability to you is limited to the amount of fees, if any, paid by you for the services. 

14             Disputes 

14.1         I shall try to resolve any disputes with you quickly and efficiently. 

14.2         If you and I cannot resolve a dispute using our internal complaint handling procedure and either of us want to take court proceedings, the relevant courts of the United Kingdom will have exclusive jurisdiction in relation to this contract. 

14.3         Relevant United Kingdom law will apply to this contract. 

15             Third party rights 

15.1         No one other than a party to this contract has any right to enforce any term of this contract

If I provide you with any materials during the services, whether digital or printed, any intellectual property in those materials belongs to me and unless we agree otherwise you can only use those materials for your own personal use and you may not share them with third parties. 

10             How I may use your personal information 

10.1         I shall use the personal information you give to me to: 

10.1.1     provide the services; 

10.1.2     process your payment for the services; and 

10.1.3     inform you about any similar products and services that I provide, though you may stop receiving this information at any time by contacting me. 

10.2         All information shared by you will be kept strictly confidential, except when releasing such information is required by law and/or where I consider it necessary to do so because of concerns of risk to yourself or others. 

10.3         I shall not give your personal information to any third party unless you agree to it. 

11             Resolving problems 

11.1         In the unlikely event that there is a problem with the services, please contact me as soon as possible and give me a reasonable opportunity to sort out any problems with you and reach a positive outcome. 

11.2         I may at my option vary or re-perform the services if there is a problem and the terms of this agreement will apply to any re-performed services. 

11.3         If you are buying services from me nothing in this contract affects your legal rights under the Consumer Rights Act 2015 (also known as ‘statutory rights’). You may also have other rights in law. 

12             End of the contract 

12.1         If a programme or services description specifies a length of time for services to be provided, then subject to clause 12.2 below, the services will terminate at the end of that timeframe. 

12.2         If I provide services to you on an ongoing basis and the relevant programme or services description does not specify a timeframe then either you or I may terminate the services by one month’s written notice to each other. 

12.3         Either you or I may terminate the services and this contract immediately if: 

12.3.1     the other party commits any material breach of the terms of this contract or a statement of work and, in the case of a breach capable of being resolved, the breach is not resolved within 30 days of a written request to do so.  The written request must expressly refer to this clause and state that the statement of work or this contract will be terminated if the breach is not resolved; or 

12.3.2     the other party commits or threatens to commit or is threatened with any act of insolvency under the Insolvency Act 1986. 

12.4         If this contract is ended it will not affect my right to receive any money which you owe to me under this contract. 

13             Limit on my responsibility to you 

13.1         Except for any legal responsibility that I cannot exclude in law (such as for death or personal injury), I am not legally responsible for any: 

13.1.1     losses that: 

(a)             were not foreseeable to you and me when the contract was formed 

(b)             that were not caused by any breach of these terms on my part 

13.1.2     business losses, including loss of business, loss of profits, loss of management time and loss of business opportunity. 

13.2         My total liability to you is limited to the amount of fees, if any, paid by you for the services. 

14             Disputes 

14.1         I shall try to resolve any disputes with you quickly and efficiently. 

14.2         If you and I cannot resolve a dispute using our internal complaint handling procedure and either of us want to take court proceedings, the relevant courts of the United Kingdom will have exclusive jurisdiction in relation to this contract. 

14.3         Relevant United Kingdom law will apply to this contract. 

15             Third party rights 

15.1         No one other than a party to this contract has any right to enforce any term of this contract
